Stock exchange listing

The certificates of ordinary shares are listed on the stock exchange of Euronext Amsterdam and included in the MidKap index (AMX); symbol VDR. Since 9 March 1999, options on Vedior shares are traded on the Amsterdam Option Exchange; symbol: VDR.

On 31 January 2005, Euronext Amsterdam announced that as from 2 March 2005, the certificates of ordinary Vedior shares will be included in the AEX index, the index made up of the 25 most active securities traded in Amsterdam.



Distribution of shareholding

On 31 December 2004, of the total number of outstanding (certificates of) ordinary shares traded on Euronext Amsterdam, an estimated 87% were held by institutional investors outside the Netherlands, 6.5% by Dutch institutions and 6.5% by private investors. The estimated geographic distribution of shareholding at the end of the year under review was: United Kingdom: 33%, United States: 18.5%, Belgium and Luxembourg: 19%, Netherlands: 12.5%, Switzerland: 8%, France: 2.5%, Germany: 2.5%, rest of Europe: 3% and rest of World: 1%.

Shareholder interests

As per 31 December 2004, Vedior’s voting capital consisted of 166,115,896 (certificates of) ordinary shares (73.2% of voting rights), 34,323,680 preference A shares (3.0% of voting rights) and 27,000 preference B shares (23.8% of voting rights).

Only certificates of ordinary shares are traded on Euronext Amsterdam. The Company’s free float is regarded as 100% by Euronext Amsterdam.

Primarily based on their holding of (certificates of) preference A and B shares, the following interests between 5% and 10% are known under the Control Report Act 1996, per 31 December 2004:

AMEV Stad Rotterdam Verzekeringsgroep (ASR) N.V. (Fortis)
